Terms of Service

Operator: Andromeda Intelligence Private Limited
Effective date: 15th October 2026
Last updated: 15th October 2026

These Terms of Service govern access to and use of Cygnus Voice. Company and contact details appear in Section 26. Please read these Terms before accepting them, subscribing, obtaining a telephone number, or deploying an AI agent.

IMPORTANT RISK AND BILLING NOTICE. Cygnus Voice uses artificial intelligence to communicate and take actions. Agents can misunderstand callers, invent information, make incorrect bookings, fail to complete actions, and cause business disruption. You must configure appropriate authority limits, testing, supervision, and fallback arrangements. Subject to Section 21.5 and applicable law, we do not compensate you for lost revenue, profits, customers, bookings, or business opportunities resulting from Agent errors or Service failures. Subscriptions renew as disclosed at checkout. Payments are generally non-refundable. Accidental-subscription requests must reach us within 24 hours for discretionary review; approval is not guaranteed. Non-renewal, non-payment, suspension, or termination may result in telephone-number release and data deletion. These provisions do not remove rights or liabilities that cannot lawfully be excluded.

1. Agreement, definitions, and scope

1.1 Contracting parties. These Terms form an agreement between Andromeda Intelligence Private Limited, an Indian company ("Company," "we," "us," or "our"), and the individual or legal entity accepting them ("Customer," "you," or "your"). If you accept for an organisation, you represent that you have authority to bind it, and "you" means that organisation. A person without that authority must not accept or use the Services on its behalf.

1.2 Acceptance. By affirmatively accepting these Terms through our sign-up, checkout, order, or other acceptance process, you agree to them. If you do not agree, do not create an account, subscribe, or deploy the Services. You consent to electronic contracting and electronic delivery of contractual notices, subject to applicable law. Acceptance of these Terms is not, by itself, consent from any caller to recording, marketing, or personal-data processing.

1.3 Definitions. "Services" means the Cygnus Voice applications, websites, dashboards, APIs, telephone-number functionality, and associated features we make available under your subscription or order. "Agent" means an AI-powered software agent configured through the Services. "Customer Data" means information submitted, connected, transmitted, or processed on your behalf, including instructions, knowledge bases, contacts, call content, recordings, transcripts, and integration data. "Output" means Agent-generated speech, text, summaries, classifications, recommendations, or other generated content. "Action" means an operation attempted or performed through the Services, such as making or transferring a call, booking an appointment, sending a message, or changing a connected record. "Authorised Users" means people you permit to use your account.

1.4 Other documents. A signed or electronically accepted order form, enterprise agreement, data processing addendum ("DPA"), or feature-specific addendum forms part of this agreement. An expressly agreed variation prevails for its stated subject matter; a DPA prevails for its data-processing subject matter. Otherwise, these Terms prevail over conflicting customer purchase-order terms. The Cygnus Voice Privacy Notice, available at /legal/privacy-policy, explains our personal-data practices. Nothing in these Terms overrides mandatory privacy rights or authorises processing inconsistent with applicable law or an applicable DPA.

2. Eligibility, account security, and access rights

2.1 Eligibility. You must be at least 18, have reached any higher applicable age of contractual capacity, and be legally permitted to use the Services. The Services are designed primarily for business and professional use. Where you nevertheless qualify for mandatory consumer protections, those protections remain unaffected; describing a transaction as "business use" does not remove them.

2.2 Account information. Provide accurate registration, billing, business, identity-verification, and contact information and keep it current. We may require reasonable information about your business, intended use, beneficial ownership, or authority to use a telephone number where necessary for security, provider requirements, or legal compliance. You must not submit false documents or conceal prohibited activity.

2.3 Security and users. You control and are responsible for your Authorised Users, account permissions, API keys, connected credentials, and configurations. Use appropriate access controls, protect credentials, revoke departed users, and promptly report suspected compromise. You are responsible for their activity and for unauthorised activity to the extent attributable to your failure to take reasonable security measures. This allocation does not excuse a security failure for which we are legally responsible.

2.4 Licence. Subject to these Terms, payment, and plan limits, we grant you a limited, non-exclusive, non-transferable right to access the Services during the applicable term for your permitted activities. Reselling, sublicensing, white-labelling, or operating a service bureau requires a plan or written agreement that expressly permits it. No rights are granted except those expressly stated.

3. What the Services provide

3.1 Functionality. Depending on your plan and enabled features, the Services may handle inbound or outbound calls, respond to enquiries, collect information, screen or route calls, book or change appointments, send notifications, and take Actions in connected systems. A description of a possible feature is not a promise that it is included, supported in every country, or suitable for every use case.

3.2 Software, not a managed business function. Unless an order expressly says otherwise, we supply software and associated technical functionality, not human receptionists, professional advisers, outsourced compliance officers, or a managed service supervising every call. We do not undertake to verify your business information, monitor every conversation, or approve each Action.

3.3 No commercial guarantee. We do not guarantee any level of sales, revenue, appointment conversion, lead qualification, customer retention, response accuracy, or business performance. You purchase access to the agreed functionality, not a guaranteed business outcome. Demonstrations and examples do not create an accuracy or revenue guarantee beyond any express contractual commitment.

4. AI and language-model risk acknowledgement

4.1 Inherent limitations. Agents use probabilistic technologies, including language models, speech recognition, speech generation, and automated tool selection. Their responses may vary, and apparently fluent or confident speech does not establish truth, comprehension, identity, consent, or successful execution. Even a tested Agent with detailed instructions can behave unexpectedly.

4.2 Information and conversation risks. An Agent may fabricate facts; misstate prices, policies, availability, or eligibility; misunderstand names, amounts, accents, languages, dates, or time zones; omit important information; lose conversational context; incorrectly summarise a conversation; produce biased, offensive, misleading, or inappropriate content; or fail to recognise a complaint, vulnerability, emergency, or request for a human. Recordings, transcripts, summaries, and extracted fields may be incomplete or inaccurate.

4.3 Action and business risks. An Agent may select the wrong contact or tool, book an unavailable slot, double-book, cancel the wrong appointment, fail to save a record, duplicate a message or transaction, miss a deadline, mishandle a transfer, make an unintended commitment, or say that an Action succeeded when it did not. Retries, delayed responses, concurrency, integration failures, and network conditions may produce duplicate, partial, or out-of-order Actions. Some consequences may be difficult or impossible to reverse.

4.4 Security and manipulation risks. Callers, documents, websites, messages, and connected data may contain malicious or misleading instructions, including prompt injection intended to override an Agent's instructions, disclose information, or trigger unintended Actions. Instructions, filters, guardrails, and approval features reduce particular risks but are not a guarantee against manipulation or misuse. AI-generated voices and caller ID must not be treated as reliable identity authentication on their own.

4.5 Evolving behaviour. Model, voice, infrastructure, and integration updates can change Agent behaviour. An earlier successful test, benchmark, or call does not guarantee future performance. Outputs may resemble outputs supplied to others, may not be legally protectable, and may require review for intellectual-property or other rights.

4.6 Acceptance of ordinary AI risk. You must assess whether a proposed deployment is appropriate given these limitations. Subject to our express commitments and Section 21.5, you accept the ordinary commercial risks of using AI-assisted automation. An inaccurate Output or failed Action does not, by itself, establish a breach of an accuracy or outcome guarantee that we have not made. This acknowledgement does not waive liability that cannot lawfully be waived.

5. Customer configuration, oversight, and authority

5.1 Your responsibilities. You are responsible for the accuracy, currency, legality, and suitability of the information, instructions, scripts, knowledge bases, permissions, calendars, contact lists, pricing, and policies supplied or approved by you. Review templates before use; our provision of a template or configuration assistance is not approval of its legality or suitability.

5.2 Testing and monitoring. Before deployment, test representative scenarios, disclosures, opt-outs, transfers, booking logic, permissions, and failure cases. Re-test after material changes. Monitor use at a level proportionate to risk, review important records and Actions, investigate complaints, and promptly pause or correct a malfunctioning deployment. Maintain independent business records, backups, a reachable human escalation route, and appropriate business-continuity arrangements.

5.3 Scope of authority. Enabling an Agent, integration, or workflow authorises us to process instructions and attempt Actions on your behalf within its configured permissions. You must hold the necessary authority over connected systems and information. Apply least-privilege access and human approval for financial, legally significant, irreversible, or otherwise material Actions. Do not enable authority that you are not prepared to supervise.

5.4 No assumption of completed work. Independently verify material bookings, cancellations, payments, promises, record changes, and other Actions in the relevant system of record. An Agent's statement that something is complete is not proof of completion. Disabling an Agent or disconnecting an integration may not reverse completed Actions or stop requests already accepted by a third party.

5.5 Your dealings with callers. As between you and us, you operate the business and determine the purpose of its communications. You remain responsible for your products, services, customer terms, fulfilment, and commitments made on your behalf. We do not become a party to a caller's transaction merely by providing the Services. An Agent's mistaken or unauthorised statement may nevertheless have legal consequences for your business; these Terms do not determine or eliminate a caller's rights.

6. Telecommunications and campaign compliance

6.1 Customer-controlled compliance. You are responsible for establishing and maintaining the lawfulness of your communications, campaigns, contact lists, recording instructions, business activities, and use of the Services in every relevant jurisdiction. Relevant jurisdictions may include those of the caller, recipient, telephone number, your business, and processing location. Obtaining access to a feature or number is not legal clearance to use it for any particular purpose.

6.2 Required permissions and controls. You must obtain and document every required consent, authorisation, registration, licence, and lawful basis before the relevant activity. Where applicable, this includes consent for automated or artificial-voice calls, prior express written marketing consent, call recording or interception permissions, do-not-call screening, internal suppression lists, consent-revocation processing, reassigned-number checks, lawful calling hours and frequency, truthful caller identification, opt-out mechanisms, and required caller disclosures. A purchased lead list, public telephone number, prior business relationship, or inbound call does not automatically provide every permission required for future calls, recording, or marketing.

6.3 Applicable frameworks. Depending on your deployment, obligations may arise under Indian telecommunications legislation, Department of Telecommunications requirements, TRAI's Telecom Commercial Communications Customer Preference Regulations and amendments, applicable sender or telemarketer registration and numbering requirements, the United States Telephone Consumer Protection Act and FCC rules, the Telemarketing Sales Rule and do-not-call rules, state recording and privacy laws, and equivalent laws elsewhere. These examples are not an exhaustive checklist, and apply only where relevant and in force.

6.4 Ongoing compliance. Honour opt-outs and consent withdrawal within the legally required period, suppress further prohibited contact, and keep adequate, independently retrievable compliance evidence for the required duration. You must not rely solely on an AI-generated summary as evidence that valid consent was obtained. Stop affected activity when its legal basis, required authorisation, or provider approval is absent or uncertain.

6.5 Verification and cooperation. On a reasonable request concerning suspected misuse or legal obligations, promptly supply relevant consent records, scripts, business verification, call information, or other necessary evidence, subject to lawful confidentiality safeguards. We may restrict affected activity while reviewing it and may lawfully respond to regulators, carriers, complainants, or other competent authorities. Verification or failure to object is not a compliance certification.

6.6 Allocation, not statutory immunity. As between you and us, you bear responsibility for your violations and the resulting liabilities allocated under Section 22. We do not assume your campaign or business-compliance obligations merely by making technology available. However, nothing transfers away a duty the law imposes directly on us, restricts a regulator's powers, or binds a caller or other person who has not agreed to these Terms.

7. AI disclosure, recordings, and sensitive information

7.1 Transparent communications. As a condition of using the Services, configure Agents to identify your business and clearly disclose that the caller is interacting with an AI or automated assistant at the beginning of the interaction, unless a written feature-specific arrangement permits a lawful alternative. Do not configure an Agent to falsely claim to be human, conceal its artificial nature when asked, or impersonate a person without lawful authority. This contractual transparency requirement applies independently of any additional legal requirement.

7.2 Recording and transcription. Before enabling recording, transcription, monitoring, analytics, or sharing, determine which permissions and notices are required for every affected participant and obtain them in the required form and at the required time. Configure an appropriate non-recorded route, discontinuation, or other lawful process when permission is refused or withdrawn. Continued participation or a generic announcement must not be assumed to establish consent where the law requires more. Obtain separate permissions where necessary for transfers, conferences, additional participants, or subsequent uses.

7.3 Data minimisation and security. Do not solicit unnecessary personal information. Do not collect passwords, one-time authentication codes, full payment-card security credentials, or similarly sensitive secrets through an Agent. Use approved, appropriately secured payment and authentication flows rather than exposing credentials in calls, recordings, or prompts. You are responsible for restricting staff and integration access to sensitive information.

7.4 Regulated information. Do not submit protected health information, regulated financial information, children's data, biometric identifiers, or other specially regulated data unless your use is lawful, the relevant feature and provider chain support it, and all required agreements and safeguards are in place. Where a business associate agreement or other sector-specific agreement is required, it must be executed before processing begins. Nothing here represents that a HIPAA-supported service, local hosting, or any particular certification is currently offered.

7.5 Voices and likenesses. You must have all necessary rights and consents to upload, reproduce, synthesise, clone, or use a person's voice, name, likeness, or other protected identity. Consent to record someone does not necessarily authorise voice cloning or impersonation. We may demand evidence of rights and disable a voice or related feature where reasonably necessary.

8. Prohibited and restricted uses

8.1 Unlawful or harmful activity. You must not use the Services for fraud, scams, phishing, deceptive offers, unlawful debt-collection practices, threats, harassment, discrimination, stalking, unlawful surveillance, unlawful political manipulation, or communications or content prohibited by applicable law. Do not target people in ways that exploit vulnerability or impersonate a government body, financial institution, emergency service, business, or individual without lawful authority.

8.2 Telecom abuse. Do not conduct spam or unlawful robocalling; disregard opt-outs; spoof caller identification unlawfully; use numbers you are not authorised to use; evade registration, geographic, routing, or carrier restrictions; generate artificial traffic or toll fraud; or rotate accounts or numbers to evade blocking or enforcement. Applicable carrier and infrastructure-provider acceptable-use requirements must be followed when identified and made available to you for the relevant feature.

8.3 Technical misuse. Do not distribute malware, interfere with service availability, access another customer's data, bypass security or usage limits, extract credentials or protected system information, or reverse engineer the Services except to the extent applicable law expressly permits it. Security testing requires our prior written authorisation and an agreed scope. Do not scrape or reproduce protected parts of the Services or use them in a manner that infringes our or another party's rights.

8.4 Emergency and high-stakes uses. The Services are not an emergency calling, dispatch, crisis-response, life-support, or safety-critical system and must not be relied on to reach emergency numbers or detect and escalate emergencies. Maintain independent emergency arrangements. Do not use Agents as the sole basis for medical diagnosis or treatment, legal advice, investment decisions, or decisions with significant effects on a person's employment, credit, insurance, housing, or access to essential services. Administrative workflows in regulated sectors require appropriate professional oversight, lawful safeguards, and any required provider approval.

8.5 Enforcement avoidance. You must not assist others to engage in prohibited conduct, conceal misuse, interfere with an investigation, or create replacement accounts following a restriction without our permission. We may apply the measures in Sections 18 and 19.

9. Telephone numbers, routing, and portability

9.1 Allocation and eligibility. Numbers and routing features depend on availability, country-specific eligibility, verification, payment, carrier approval, and applicable law. An allocation grants a conditional right of use, not ownership or a guarantee of permanent availability, except for rights applicable law expressly gives you. We may reject or withdraw an allocation when legally required or reasonably necessary to satisfy provider or eligibility requirements.

9.2 Renewal and release. Maintain an active eligible subscription, any separately disclosed number subscription, required verification, and sufficient payment or credits. If you do not renew, fail to pay, cancel the relevant service, exhaust the required balance, or have access terminated, your number may be suspended, disconnected, released, or reassigned. No contractual grace period or recovery window is guaranteed unless expressly stated in your order or required by law. We will give legally required notices and, where reasonably practicable, advance warning of an ordinary payment-related release; security, legal, or upstream action may prevent advance notice.

9.3 Consequences of release. A released number may be acquired by another person and receive future calls or messages intended for you. Recovery, reinstatement, and continuity are not guaranteed, even if you later pay or reactivate. Update your customers, advertising, integrations, and authentication arrangements before losing access. Do not rely on a provisioned number as your only account-recovery or identity-verification method. Subject to Section 21.5, we are not liable for lost business, calls, contacts, or revenue arising from a release permitted by these Terms.

9.4 Porting. Porting in or out is subject to legal entitlement, supported number types, provider procedures, accurate authorisation, and technical availability. Request any supported port-out while the number remains active and allow adequate time. We do not guarantee completion dates or uninterrupted porting, and must respect mandatory portability rights. An outstanding debt does not authorise us to block a port where the law prohibits that. Porting does not, by itself, cancel your subscription or erase charges already due.

9.5 Delivery and reputation. Carrier filtering, spam labels, network failures, caller blocking, country restrictions, and other external conditions may prevent or degrade communications. We do not guarantee a number's reputation, caller-ID display, delivery, connection quality, successful forwarding, or acceptance by every recipient or third-party service.

10. Subscriptions, renewal, and cancellation

10.1 Commercial terms. Your checkout or order specifies the price, currency, billing interval, included allowances, number entitlements, usage rates, and any minimum commitment. Taxes and mandatory additional charges will be disclosed as required by law. You are responsible for reviewing these details before purchase.

10.2 Automatic renewal. Unless expressly sold as non-renewing, subscriptions and separately disclosed recurring add-ons renew for the same billing interval at the then-applicable disclosed price until cancelled. By completing the relevant affirmative purchase and payment-authorisation process, you authorise the applicable recurring charges. We will obtain and maintain any additional mandate, notification, or consent required by law or payment-network rules.

10.3 Cancellation. You may stop future renewal through the billing controls made available in your account or by contacting support@andromeda-intelligence.com with sufficient information to verify the account. Cancellation takes effect at the end of the current paid period unless you request earlier closure or the order says otherwise. A request received before the next renewal will be honoured even if administrative processing finishes later. Stop scheduled campaigns and separately cancel any independently renewing number, add-on, or third-party subscription. Deleting an app or ceasing use does not cancel billing.

10.4 Plan changes. Upgrades, downgrades, additional numbers, and other add-ons take effect with the prices and any prorations displayed before confirmation. Removing an allowance or number may reduce capacity or cause release of a number. We do not provide a retrospective price adjustment merely because you did not use a feature or later choose a smaller plan.

11. Usage charges, credits, and payments

11.1 Metered usage. Usage is charged according to the units, rounding, minimum increments, destinations, and rates disclosed for the applicable feature. Chargeable activity may include AI processing, connected call time, recording, storage, messages, tool use, and separate call legs involved in forwarding or conferencing. A call may incur disclosed carrier charges after the Agent leaves it. Charges reflect resources used, not whether an interaction produces a sale, accurate answer, or completed booking.

11.2 Allowances and credits. Included allowances and promotional credits expire or reset as disclosed in the plan. Purchased credits are a prepayment for Services, not a deposit, bank account, or transferable currency; they cannot be redeemed for cash except where required by law. Expiry, rollover, or other restrictions on purchased credits must be disclosed before purchase. We will not impose an undisclosed retroactive expiry. Credits and balances are subject to the refund and termination provisions below.

11.3 Spend controls. You must monitor usage and configure available limits. Usage displays, estimates, alerts, and soft budgets may lag actual charges because of concurrency, delayed provider reporting, or in-progress work. They are not guaranteed real-time spending caps unless expressly described as a hard-enforced limit. This does not excuse failure to provide a spending safeguard we expressly promise. We may pause activity when balances or limits are reached but do not promise an uninterrupted or zero-cost shutdown.

11.4 Payment obligations. Pay undisputed amounts when due and maintain a valid authorised payment method. Subject to your payment authorisation, we or the disclosed merchant of record may charge recurring fees, usage, taxes, and confirmed add-ons. We may require prepayment or restrict further credit where reasonably justified by payment risk. You remain responsible for lawful charges attributable to your use, including provider charges reported after cancellation. We will correct established billing errors.

11.5 Payment providers and disputes. A payment processor or merchant of record may supply separate purchase, invoicing, tax, or payment terms identified at checkout. Those terms do not remove mandatory rights. Notify us promptly of billing concerns and provide available evidence; do not initiate knowingly false or abusive chargebacks. Legitimate payment disputes and statutory or card-network dispute rights are not prohibited, and the 24-hour discretionary refund window does not shorten them. Reasonable, documented external charges caused by your proven payment abuse may be recovered only where legally permitted.

11.6 Price changes. Subscription-price increases apply no earlier than the next renewal after at least 30 days' notice, or any longer legally required notice. You may cancel before that renewal. Variable carrier or usage rates may change prospectively on reasonable notice and disclosure of the applicable rate, subject to your order and law. No change retrospectively increases the price of completed usage or a fixed-price period already purchased.

12. Refund policy

12.1 General rule: no refunds. Except as expressly stated in these Terms, separately agreed in writing, or required by law, fees are non-refundable. This includes subscription payments, renewals, number and provisioning charges, add-ons, usage charges, and purchased credits. We do not provide refunds for change of mind, non-use, failure to cancel renewal, unused allowances, partial periods, ordinary AI limitations, or a failure to achieve expected business results. A refund is not automatically due because an Agent made a mistake.

12.2 Accidental subscriptions: 24-hour review window. We may consider an accidental initial subscription or accidental renewal individually and at our discretion. Email support@andromeda-intelligence.com so the request reaches us within 24 consecutive hours after the relevant charge, including weekends and holidays. Include your account email, transaction or invoice reference, charge time, and explanation. Submitting a timely request makes it eligible for review only; it does not create an entitlement to a refund or a cooling-off period.

12.3 Discretionary assessment. We may consider the circumstances, account history, whether an earlier exception was granted, usage, and whether number, carrier, AI, or other non-recoverable costs were incurred. We may approve all, part, or none of a discretionary request. Any deduction will be explained. Approval of one request does not create a precedent. Any approved refund will normally return to the original payment method, subject to the relevant provider's process and mandatory deadlines.

12.4 Misuse and breach. Suspension or termination for your established material breach, unlawful use, or prohibited activity does not entitle you to a discretionary refund, credit, or extension. Subject to applicable law, unused amounts associated with the terminated account are non-refundable. We will not use this provision to impose an unlawful penalty or retain an amount that must legally be returned.

12.5 Mandatory and express exceptions. This policy does not limit a refund, cancellation, withdrawal, billing-error correction, or other remedy required by applicable law, or the express refund rights in Sections 19.3 and 24.2. Statutory rights concerning deficient, misrepresented, or undelivered services, where applicable, are not subject to our discretion or the 24-hour deadline. Where a merchant of record must process the remedy, we will cooperate as required.

13. Third-party services and integrations

13.1 Dependencies. The Services may depend on telecommunications carriers, AI and speech providers, hosting, payment processors, calendars, customer-management systems, and other third parties. Availability, geographic coverage, rates, limits, or functionality may change because of their actions. A third party may block a communication, suspend a connection, refuse a number, or change an API or model.

13.2 Your connections. You are responsible for subscriptions, permissions, credentials, data accuracy, and lawful use of third-party services you select or connect. Enabling an integration authorises the necessary exchange of Customer Data and execution of configured Actions. Review the applicable third-party terms and notices before connecting it. We do not warrant the security or performance of an independently selected third-party service.

13.3 Limits of responsibility. Subject to our express commitments and Section 21.5, we are not responsible for failures caused by circumstances in third-party services outside our reasonable control. This does not remove any responsibility we have under law or a DPA for providers we appoint, nor excuse our own breach merely because we use a subcontractor. Third-party rules apply only to the relevant feature and do not override mandatory rights.

14. Customer Data, privacy, and security

14.1 Your data responsibilities. You warrant that you have the rights, authority, and lawful basis required to supply Customer Data and instruct its processing, including necessary participant notices and permissions. You are responsible for deciding which information to collect, who may access it, and whether your retention and use are lawful. Do not upload data you are prohibited from sharing.

14.2 Roles. For call and business data processed solely on your instructions, you generally determine the purposes of processing and act as the relevant controller or data fiduciary, with us acting as processor where the applicable law uses that concept. For account administration, billing, fraud prevention, and other purposes we independently determine, we may act as an independent controller or data fiduciary as explained in our Privacy Notice. Actual roles depend on the processing activity and law, not merely these labels.

14.3 Processing authority. You authorise us and our properly engaged service providers to access, transmit, host, analyse, and otherwise process Customer Data as necessary to provide, maintain, support, troubleshoot, secure, and lawfully administer the Services and carry out your instructions. This limited permission is not a transfer of ownership and does not authorise unrelated sale, advertising use, or general-purpose AI-model training on identifiable Customer Data. Any additional use requires separately applicable disclosures, lawful authority, and contractual permissions where required. Our Privacy Notice and any DPA must accurately describe the actual processing, including relevant provider practices.

14.4 Separate safeguards. Where required, the parties must enter into an appropriate DPA, international-transfer arrangement, or sector-specific agreement before the relevant processing. Processing may involve countries other than your own, as described in the applicable notices and agreements and permitted by law. Unless expressly agreed, no particular data-residency location is promised. A general acceptance of these Terms does not replace a legally required transfer mechanism or participant consent.

14.5 Security and incidents. We will maintain security measures appropriate to our applicable legal and contractual obligations. No system is immune from compromise, and you must implement reasonable safeguards on your side. Each party must cooperate reasonably concerning relevant security incidents, data-subject requests, and legally required notifications. We will provide notifications and assistance required by applicable law or the DPA; these Terms do not excuse our own security or reporting obligations.

14.6 Applicable privacy law. Privacy obligations may include the Information Technology Act, 2000 and applicable rules, the Digital Personal Data Protection Act, 2023 and its rules to the extent in force and applicable, and relevant foreign data-protection laws. Nothing here represents that every provision of a particular law is already in force or that a standard subscription alone satisfies your sector's compliance requirements.

15. Retention, export, and deletion

15.1 Not a permanent archive. The Services are not your sole system of record, compliance-evidence repository, or guaranteed backup. Retention and export capabilities depend on your plan, the applicable Privacy Notice or DPA, and legal requirements. Export information you need while access remains available, including consent evidence, business records, recordings, and configuration information where export is supported.

15.2 Events affecting data. Customer Data may become inaccessible or be deleted following a customer deletion instruction, expiry of a disclosed retention period, subscription lapse, non-payment, account closure, prolonged inactivity after reasonable notice, lawful abuse remediation, or termination. Unless an applicable order, DPA, or law provides otherwise, we do not guarantee a post-termination retention or restoration period. For ordinary closure, we will give any legally required notice and, where reasonably practicable, an opportunity to export before deletion. Immediate action may be necessary for security, unlawful content, or a binding legal requirement.

15.3 Legal retention and backups. Deletion is subject to applicable legal retention, tax, security, dispute-preservation, and legal-hold duties. Residual backup copies may remain until removed under the applicable backup schedule, subject to continued protection and restricted use. We may retain records lawfully necessary to establish consent, prevent abuse, or comply with legal obligations, but not beyond what is permitted. We do not promise that a deletion in Cygnus Voice immediately removes copies independently held by your connected third parties.

15.4 Restoration and losses. Reinstating a subscription or paying an overdue balance does not guarantee restoration of deleted data, released numbers, settings, or integrations. Subject to Section 21.5, we do not compensate for lost business or revenue caused by deletion or loss of access permitted by these Terms. Nothing here authorises deletion contrary to a DPA, preservation duty, or non-excludable obligation.

16. Intellectual property and confidentiality

16.1 Company property. We and our licensors retain all rights in the Services, software, models we own or license, interfaces, documentation, branding, and pre-existing or independently developed technology. Customer Data is not Company property merely because it is processed through the Services. You must not remove proprietary notices or use our names or marks in a misleading way.

16.2 Customer content and Output. You retain your rights in Customer Data. As between the parties, and to the extent rights exist and can lawfully be transferred, you own Output generated for your account, excluding embedded Company or third-party technology and pre-existing materials. We assign any transferable rights we hold in that Output to you, subject to those exclusions. No exclusivity, copyright protection, accuracy, or non-infringement guarantee is made for generated content. You remain responsible for reviewing your use and distribution of it.

16.3 Feedback and operational statistics. You permit us to use voluntary product feedback without compensation, but not to disclose your confidential information under that permission. We may use genuinely anonymised, aggregated operational statistics to maintain and improve the Services where lawful and consistent with our Privacy Notice and DPA. This does not authorise re-identification or unrelated use of identifiable call content.

16.4 Confidentiality. Each party must protect the other's non-public business, technical, security, and financial information disclosed in connection with this agreement using reasonable care, use it only for the agreement's purposes, and disclose it only to people or service providers who need it and are subject to appropriate confidentiality obligations. Information is not confidential to the extent it is lawfully public, already known without restriction, independently developed, or lawfully received from another source. Legally compelled disclosure is permitted to the necessary extent, with prior notice where lawful and practicable. These duties continue while the information remains confidential, subject to any longer legal or DPA obligation.

17. Availability, support, and changes to functionality

17.1 Service levels. Unless a separate agreement expressly provides one, there is no contractual uptime, response-time, recovery-time, or service-credit guarantee. Maintenance, upgrades, capacity limits, outages, and third-party failures may affect availability. We will exercise reasonable care in operating the Services, subject to the expressly agreed allocation of risk. Support does not include legal advice or supervision of every Agent.

17.2 Evolution of the Services. We may improve, replace, or modify features, models, integrations, and technical limits. We will give reasonable advance notice of a material reduction to a paid core feature where practicable, except where urgent security, legal, or provider circumstances require faster action. We will not treat this clause as permission to charge for materially different services contrary to mandatory law or an express fixed-term commitment. Section 19.3 addresses permanent discontinuation of paid Services.

17.3 Beta and trial features. Features identified as beta, preview, experimental, or trial may have additional limitations, reduced support, or limited retention and may be withdrawn. Evaluate them before production use and do not deploy them in critical workflows. They remain subject to applicable privacy, security, and other non-excludable duties.

18. Suspension, blocking, and abuse response

18.1 Grounds. We may immediately block calls, disable a feature or number, restrict integrations, or suspend account access where we reasonably believe there is unlawful or prohibited use, a material breach, a credible security threat, fraud, materially excessive or harmful traffic, missing legally required verification, material non-payment, or a binding regulator or provider requirement. We may take proportionate protective action before a review is complete.

18.2 Notice and review. Where lawful and reasonably practicable, we will notify you of the reason and steps needed to resolve the issue. We need not provide advance notice where it would increase risk, impede an investigation, disclose protected information, or violate law. You may request review through our support or grievance contact. We may require remediation and satisfactory verification before restoration, and may terminate for an established material breach under Section 19.

18.3 Financial consequences. An established breach or unlawful use does not create a refund entitlement merely because access has been blocked; Section 12.4 applies. Charges already properly incurred remain payable. Where a restriction proves unjustified, we will address resulting access and billing issues consistently with our contractual and legal obligations. Suspension does not guarantee preservation of a number or data beyond applicable provider, legal, and retention limits.

19. Termination and its consequences

19.1 Your termination rights. You may cancel renewal under Section 10 or request account closure. Closing an account may stop remaining paid access, trigger number release, and affect stored data. Except for an express or legally required remedy, voluntary early closure does not entitle you to a refund or relieve charges already incurred.

19.2 Termination for cause. We may terminate immediately for unlawful use, serious or repeated prohibited activity, fraud, a material threat to security or others, or a legal requirement. For another remediable material breach, we may terminate if it remains unremedied 15 days after notice, unless an earlier restriction is reasonably required under Section 18. We may decline a future renewal with reasonable notice.

19.3 Company convenience or uncured breach. If we permanently discontinue a paid Service or end your paid term for convenience without your breach, we will refund prepaid fees attributable to the unused, unprovided portion and unused purchased credits that can no longer be used. If we materially breach an express obligation and do not cure it within 30 days after receiving reasonably detailed written notice, you may terminate the affected Service and receive the same unused-prepayment remedy. Non-excludable statutory remedies remain available without having to satisfy a contractual cure period. These narrow remedies do not compensate for lost revenue or other losses excluded under Section 21.

19.4 Effects. On termination, your access licence ends, outstanding lawful charges remain due, scheduled activity may cease, integrations may disconnect, and numbers and Customer Data are handled under Sections 9 and 15. You must stop using the Services and make independent continuity arrangements. We need not preserve an account indefinitely or recreate deleted information. Payment, intellectual-property, confidentiality, data-handling, liability, indemnity, dispute, and other provisions intended by their nature to survive will survive.

20. Warranty disclaimers

20.1 Limited contractual commitments. Except for commitments expressly stated in these Terms or a signed order, and to the fullest extent permitted by law, the Services, Agents, Outputs, and Actions are provided "as is" and "as available." We disclaim implied warranties of merchantability, satisfactory quality, fitness for a particular purpose, title, non-infringement, and any warranty arising from a course of dealing or usage of trade, to the extent such exclusions are lawful.

20.2 No error-free or compliance guarantee. We do not warrant that the Services will be uninterrupted, error-free, immune to attack, suitable for every business, compliant for every customer deployment, or that every Output will be accurate, every instruction followed, every call handled, every appointment correctly booked, or every Action completed. We do not warrant increased or preserved revenue, elimination of staff, or replacement of professional judgment.

20.3 Express and mandatory obligations preserved. These disclaimers do not negate our express contractual commitments, authorise misleading descriptions, or remove a non-excludable warranty, duty of care, privacy obligation, or consumer remedy. Section 21.5 applies throughout these Terms.

21. Exclusion of business losses and limitation of liability

21.1 Express exclusion of revenue and business losses. To the fullest extent permitted by law, and subject to Section 21.5, the Company and its affiliates, directors, officers, employees, contractors, and licensors will not be liable to you for any loss of revenue, profits, sales, anticipated savings, business, customers, contracts, goodwill, reputation, bookings, leads, or business opportunities arising out of or relating to the Services, Agents, Outputs, or Actions. This exclusion applies whether those losses are characterised as direct, indirect, incidental, special, or consequential, and even if we were advised that they were possible.

21.2 Agent-error examples and additional excluded losses. Subject to Section 21.5, Section 21.1 applies to missed or mishandled calls, incorrect prices or offers, misinformation, lost leads, wrong or duplicate bookings, improper cancellations, failed follow-ups, mistaken promises, failed or duplicate Actions, transfer failures, integration errors, ordinary AI limitations, prompt injection, service interruptions, and number or data loss. We also exclude indirect, consequential, special, exemplary, and punitive damages, and indirect costs of procuring substitute services or recovering data, to the extent legally permitted. Describing a lost sale or appointment as a direct loss does not avoid the specific business-loss exclusion above.

21.3 Aggregate financial cap. Subject to Section 21.5, our combined aggregate liability arising out of or relating to this agreement and the Services will not exceed the fees actually paid by you for Cygnus Voice that are attributable to the three months immediately preceding the first event giving rise to any claim under this agreement. Annual and other prepaid subscription fees are allocated proportionately to that period; taxes are excluded. Payments through an authorised merchant of record count as payments for this purpose. For an entirely free or trial account, the aggregate cap is INR 1,000. The cap is a single aggregate limit across claims under this agreement, not a separate amount per call, Agent, Action, incident, claimant within your organisation, or legal theory. Multiple claims do not increase the cap.

21.4 Application and allocation. The exclusions and cap apply, to the extent lawful, to claims in contract, tort including negligence, misrepresentation other than fraud, statute, restitution, or otherwise, and to claims concerning an applicable DPA unless it expressly provides a different liability regime. Each exclusion and limitation is intended to operate independently. The fees reflect this allocation of ordinary commercial risk; they are not an insurance premium for your business outcomes. You must take reasonable steps to mitigate a loss once discovered, without prejudice to non-excludable rights.

21.5 Matters not excluded or capped. Nothing in these Terms excludes or limits liability for our fraud or fraudulent misrepresentation, wilful misconduct, gross negligence, death or personal injury caused by negligence, or any other liability that applicable law prohibits excluding or limiting. Nor do these Terms exclude mandatory consumer, privacy, telecommunications, or payment rights and remedies, or restrict competent regulators. Refunds and repayments expressly due under these Terms or required by law are not reduced by Section 21.3. Where a restriction is unlawful only in a particular respect or jurisdiction, it applies only to the extent lawful. No clause is intended to prevent you from enforcing a right that cannot lawfully be waived.

22. Customer indemnity

22.1 Covered claims. To the extent permitted by law, you will indemnify and hold harmless the Company, its affiliates, and their respective directors, officers, employees, and contractors against third-party claims, regulatory proceedings, damages, judgments, settlements approved under this Section, and reasonable documented defence costs, to the extent arising from: your or your Authorised Users' breach of these Terms or law; unlawful calls, marketing, recording, data processing, or failure to honour opt-outs; missing consent, registration, licence, or authority for your activities; infringement through your Customer Data, instructions, voice materials, or connected content; your products, services, fulfilment, or business representations and commitments made through configured Agents; or fraud, misuse, or a security failure attributable to your breach of reasonable account-security duties.

22.2 Telecom and enforcement costs. Covered amounts may include reasonable external investigation, defence, remediation, and carrier charges resulting from the conduct above, and fines or penalties only to the extent legally indemnifiable and attributable to that conduct. This does not make you responsible for a fine that cannot lawfully be shifted, or create a predetermined penalty for every complaint. Responsibility is allocated according to the legally relevant cause; calling an amount an "indemnity" does not make an unlawful recovery enforceable.

22.3 Exclusions and causation. You are not required to indemnify a loss to the extent caused by our breach of this agreement, negligence, fraud, wilful misconduct, or failure to perform a duty legally imposed on us. An Agent error within the disclosed risks, without such a breach or fault on our part, does not by itself remove an otherwise applicable indemnity for your customer-facing business dealings. Your indemnity does not waive a caller's rights or prevent a regulator from proceeding against either party.

22.4 Defence process. We will give reasonably prompt notice of a covered claim; delay reduces your obligation only to the extent it materially prejudices the defence. At our request, you must arrange a competent defence at your expense with counsel reasonably acceptable to us, subject to conflicts and any regulator's requirements. We may participate at our own expense, or reasonably control a regulatory matter, conflicting defence, or urgent response, with covered costs allocated under this Section. We will reasonably cooperate and mitigate costs.

22.5 Settlement and payment. You must not settle a claim in a way that admits fault by us, requires a non-monetary obligation, fails to release us, or affects our rights without our written consent. We must obtain your consent, not unreasonably withheld, to a settlement for which we seek indemnity, except where the law or urgent protective circumstances reasonably require otherwise. Neither party may recover the same loss twice. Section 21's cap on our liability does not cap your lawful payment obligations or indemnity under this Section; mandatory consumer and other legal protections still apply.

23. Governing law and disputes

23.1 Indian law. This agreement is governed by the laws of India, without using conflict-of-law rules to displace that choice. Mandatory protections or regulatory obligations applicable to a customer or activity in another jurisdiction remain unaffected where they cannot lawfully be displaced.

23.2 Informal resolution. Before starting ordinary proceedings, please send a reasonably detailed dispute notice to support@andromeda-intelligence.com. The parties will attempt good-faith resolution for 30 days where practical. This process does not prevent urgent interim relief, a regulator or consumer complaint, or proceedings needed to preserve a legal deadline, and does not shorten a statutory limitation period.

23.3 Courts. Subject to mandatory law and any non-waivable right to another competent forum, the courts of competent jurisdiction in Bengaluru, Karnataka, India have exclusive jurisdiction over disputes arising from this agreement. This clause does not purport to confer jurisdiction on a court that lacks it, exclude a statutory tribunal, or prevent a person from using a legally protected consumer forum. Arbitration applies only if separately agreed in a valid written agreement.

24. Changes to these Terms and notices

24.1 Amendments. We may revise these Terms prospectively. For a material change affecting an existing paid subscription, we will give at least 30 days' notice by email or a prominent account notice, or longer where legally required. A shorter period may apply where necessary for law, security, or prevention of material harm, with notice as reasonably practicable. Changes do not retrospectively remove accrued rights or alter the terms governing an existing dispute.

24.2 Acceptance of changes. Where fresh consent is required, we will obtain it. Otherwise, continued use after the notified effective date constitutes acceptance only to the extent permitted by law. You may reject a material change by cancelling before it applies. A material adverse change to an already-paid fixed term will either be deferred to renewal, agreed with you, or permit termination of the affected Service with a refund for its unused, unprovided prepaid portion. Price changes are also subject to Section 11.6.

24.3 Communications. Keep your account email current. We may send service, billing, security, and legal communications to your registered email or account. These are distinct from optional marketing messages. A notice is effective when delivered in a legally valid manner; these Terms do not deem a failed email delivered or override statutory service requirements. Send formal notices to the contact details in Section 26.

25. General provisions

25.1 Entire agreement and interpretation. These Terms and the documents incorporated under Section 1.4 are the entire agreement concerning the Services and replace prior discussions on the same subject, except an expressly continuing written agreement. Nothing excludes liability for fraudulent statements or mandatory remedies for misleading advertising. Headings are for convenience, and "including" is illustrative, not limiting.

25.2 Severability and waiver. If a provision is invalid, it will be restricted or severed only to the extent necessary, where law permits, and the rest remains effective. A failure or delay to enforce a right is not a waiver. A waiver must be express and applies only to the stated instance. No severability clause makes an inherently prohibited obligation lawful.

25.3 Assignment and subcontracting. You may not transfer this agreement or your account without our written consent, not unreasonably withheld for a legitimate business reorganisation. We may transfer it to an affiliate or as part of a merger, restructuring, or sale of the relevant business if the successor assumes our obligations, subject to legally required notice or consent and without unlawfully reducing your rights. We may engage subcontractors while retaining responsibilities that law or this agreement places on us.

25.4 Independent parties. The parties are independent contractors. No partnership, joint venture, employment relationship, or general agency is created. Technical authority to perform configured Actions does not make us your professional adviser, your customer, or an unrestricted business representative.

25.5 Force majeure. Neither party is responsible for delay or failure caused by events beyond its reasonable control, such as natural disasters, war, government action, or widespread network disruption, to the extent the event actually prevents performance and reasonable mitigation is undertaken. This does not excuse accrued payment obligations, inadequate security practices, duties that law makes non-excludable, or a refund legally required for unprovided services. A prolonged discontinuation is addressed under Section 19.3 where applicable.

25.6 Trade controls and lawful cooperation. You must comply with applicable sanctions, export controls, and restrictions on access or use. Neither party is required to perform an unlawful act. The parties may cooperate with legally valid investigations or orders, subject to applicable privacy and confidentiality requirements.

25.7 No unintended third-party rights. Except for the persons expressly protected by Sections 21 and 22 to the extent enforcement is permitted by law, this agreement creates no contractual rights for a third party. This does not remove a person's independent statutory or other legal rights.
